BY ACCESSING OR USING LINKFLIQ, YOU AGREE TO THESE TERMS. PLEASE READ THEM CAREFULLY.


1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of LinkFliQ, a product owned and operated by Fliqmedia Tech Private Limited, a company incorporated under the laws of India ("Company", "we", "our", or "us").

LinkFliQ is an AI-powered Instagram automation platform built for D2C brands, e-commerce stores, and agencies. The platform connects to your Shopify store and Instagram Business account to handle DMs and comments, using live Shopify catalogue data, intent detection, automated responses, and human escalation through Meta's officially approved APIs.

LinkFliQ is Meta-approved and Shopify App Store verified.

2. Definitions

"LinkFliQ": The website, dashboard, software platform, APIs, and related services provided by Fliqmedia Tech Pvt. Ltd.

"User": Any individual, business, or organization accessing or using LinkFliQ.

"Brand": A business using LinkFliQ to manage Instagram conversations.

"Agency": An organization managing one or more Brand accounts using LinkFliQ.

"End Customer": The Instagram user who messages or comments on a Brand's account.

"Automation": AI-driven actions including message classification, automated replies, intent detection, tagging, routing, and escalation.

"Human Escalation": Routing of sensitive or complex conversations to a human representative via the Brand's dashboard tabs ("Needs Human", "Escalated", "Collabs").

"Knowledge Base": Brand-provided data including FAQs, website content, policies, documents, or manual inputs used to generate responses.

"Shopify Integration": Real-time access to Shopify store data including products, pricing, inventory, and order information used for contextual responses.

"Content": Comments, messages, media, metadata, analytics, and other data processed through the platform.

"Subscription": A free or paid plan granting access to LinkFliQ features.

"Credits": The unit measuring usage of LinkFliQ services (one interaction = one credit).

"Meta Enforcement Action": Any suspension, restriction, ban, rate limiting, account disabling, or platform enforcement applied to an Instagram, Facebook, Threads, or any Meta-linked account by Meta Platforms, Inc., whether executed through automated AI moderation systems, algorithmic detection, mass-report processing, human review, policy updates, or any combination thereof.

"DPDP Act": India's Digital Personal Data Protection Act, 2023.

3. Access & Updates to Terms

Access Approval

Creating an account does not automatically guarantee access to all features. Certain functionality, including Instagram automation, Shopify integration, or advanced AI features, may require approval or activation. We reserve the right to approve, limit, suspend, or revoke access to protect platform integrity, customer safety, or compliance with Meta and Shopify policies.

Updates to Terms

We may update these Terms from time to time for legal, operational, or product-related reasons. Material changes will be communicated via email or in-product notification at least seven (7) days before they take effect. Continued use of LinkFliQ after changes take effect constitutes acceptance of the updated Terms.

4. Eligibility & Account Registration

To use LinkFliQ, you must:

  • Be at least 18 years old

  • Provide accurate, current, and complete registration information

  • Use an authorized business or personal identity

  • Maintain confidentiality of login credentials

  • Have the legal authority to bind the Brand or Agency you represent

  • Have an active Shopify store and an Instagram Business or Creator account

You are responsible for all activities occurring under your account, including any actions taken by team members or sub-admins you authorize.

5. Service Overview & Limitations

What LinkFliQ Does

LinkFliQ enables Brands to:

  • Connect Instagram accounts via Meta-approved APIs (Instagram Graph API)

  • Connect Shopify stores for real-time product and order data

  • Automatically respond to routine DMs and comments using AI

  • Recommend products from your live Shopify catalogue based on customer intent

  • Resolve order status and support queries using live Shopify order data

  • Detect and auto-remove scam, abuse, or competitor-link comments

  • Identify high-intent leads and conversation patterns

  • Escalate sensitive or high-risk conversations to humans through dashboard tabs

  • Access analytics and conversation insights

Human Escalation Triggers

LinkFliQ automatically escalates conversations to your dashboard when:

  • A post is not connected to LinkFliQ but receives pricing or product queries ("Needs Human" tab)

  • A user shares reels of other accounts or sends screenshots ("Needs Human" tab)

  • An order ID, email, or phone number does not match a real Shopify order ("Escalated" tab)

  • A collaboration request is received ("Collabs" tab)


Important Clarifications

LinkFliQ replies based on conversation context and connected Shopify data. AI accuracy depends on the completeness and accuracy of Shopify catalogue data and Knowledge Base inputs you provide.

LinkFliQ does not provide manual AI reply editing workflows unless explicitly offered in the dashboard.

Support automation only replies to orders placed on the connected Shopify store. AI asks the customer about the order source (Website / Store / Other); orders not from the connected store are escalated to humans.


Disclaimers

Automation reduces workload but does not replace human judgment for sensitive matters.

LinkFliQ does not guarantee sales, conversions, follower growth, or engagement outcomes.

Users are responsible for configuring, reviewing, and monitoring automation behavior.

AI responses are generated based on patterns and data; occasional errors are possible. Human escalation handles edge cases.

6. Account & Data Security
Instagram Account Safety

LinkFliQ operates exclusively through Meta's official Instagram Graph API. We are a Meta-approved tech provider. We do not use browser automation, unofficial APIs, fake logins, or any method that violates Meta's Platform Terms. This means:

  • Your Instagram account remains compliant with Meta's API-usage policies while using LinkFliQ

  • No risk of suspension or ban attributable to LinkFliQ's own operations when the platform is used as intended

  • All messaging respects Instagram's official rate limits and 24-hour messaging windows


While LinkFliQ operates exclusively through Meta-approved APIs, this does not guarantee immunity from Meta's automated enforcement systems. Meta's AI moderation operates independently of which tools a business uses and evaluates a broad range of account-level signals outside our control. Please refer to Section 7A for full details.


Shopify Data Security

LinkFliQ is Shopify App Store verified and connects through Shopify's official OAuth-based API.

  • We do not store sensitive customer data (full payment information, complete addresses, or PII beyond what is required for order lookup)

  • Shopify catalogue and order data is fetched live and processed in real time to generate responses

  • We access only the Shopify scopes necessary to operate the service (products, inventory, orders)

  • You can revoke LinkFliQ's Shopify access at any time from your Shopify admin

Platform Security

  • All data in transit is encrypted via TLS 1.2 or higher

  • Stored data is encrypted at rest using industry-standard encryption

  • Access controls and audit logs protect against unauthorized access

  • We follow security best practices aligned with SOC 2 principles (formal SOC 2 certification in progress)

7. Platform Dependencies (Meta & Shopify)

LinkFliQ relies on third-party platforms including Meta (Instagram) and Shopify.

  • Instagram functionality operates exclusively via Meta-approved APIs

  • Shopify integrations depend on Shopify API availability and permissions

  • Changes, outages, limits, or policy updates from Meta or Shopify may affect functionality

  • Instagram messaging is subject to Meta's 24-hour messaging window and other platform rules outside our control


We are not affiliated with Meta Platforms, Inc. or Shopify Inc. We are not responsible for service interruptions, policy changes, or enforcement actions caused by these platforms.

7A. Meta Enforcement Risk & Instagram Account Suspension

Background

Since 2025, Meta has significantly escalated AI-based automated content moderation and account enforcement across Instagram, Facebook, and Threads. These automated systems operate at scale with limited human review and are known to generate false positives, affecting legitimate business accounts, creators, and organizations. In 2026, enforcement is stricter than in prior years, with accounts being suspended, restricted, or permanently disabled at higher rates, often without clear explanation from Meta.

LinkFliQ operates exclusively through Meta's officially approved Instagram Graph API and holds Meta tech provider status. However, our use of official APIs cannot and does not provide absolute protection against Meta Enforcement Actions, which are triggered by a wide range of account-level factors entirely outside LinkFliQ's control.

How Meta's Enforcement System Works

Meta's automated moderation systems evaluate accounts based on signals that are entirely independent of whether a brand uses any third-party tool. These include, but are not limited to:

  • Account content: posts, Stories, Reels, captions, hashtags, and media posted directly by your team

  • Behavioral signals: rate of follows, unfollows, likes, comments, and DM activity whether manual or automated

  • Internal trust score: an undisclosed metric Meta assigns to every account, which degrades based on spam complaints, policy interactions, and connected account flags

  • Mass-reporting: coordinated reports filed by competitors, trolls, or bad actors that trigger automated suspension before any human review takes place

  • Cross-platform flags: a violation on any Meta platform (Facebook, Threads, or Instagram) can automatically suspend all linked accounts sharing the same Meta Accounts Center

  • Chain bans: Meta may suspend all accounts sharing a device, IP address, phone number, or email pattern when one linked account is flagged

  • AI false positives: Meta's automated systems have documented and widely reported rates of misclassifying legitimate content, including ordinary business posts, leading to enforcement actions against innocent accounts

  • Content created prior to using LinkFliQ or entirely outside of LinkFliQ's automation scope

  • Other third-party tools connected to the same Instagram account alongside LinkFliQ

LinkFliQ's Compliance Position

LinkFliQ is a Meta-approved technology provider operating exclusively through official Graph API endpoints. Our automation respects:

  • Instagram's official DM rate limits and 24-hour messaging windows

  • Meta's Platform Terms and Developer Policies

  • Instagram's messaging rules for Business and Creator accounts

The use of LinkFliQ does not violate Meta's terms of service. Any Meta Enforcement Action applied to your Instagram account is not attributable to LinkFliQ's official API operations when the platform is used as intended and within its defined scope.

Your Responsibility for Account Health

As the Brand, you are solely responsible for maintaining the health, compliance, and trust level of your Instagram account. This includes:

  • Ensuring all content you post complies with Meta's Community Guidelines and Terms of Use

  • Avoiding the use of unofficial automation tools, browser bots, scrapers, follower trackers, or non-API-based tools alongside LinkFliQ on the same account

  • Not using banned or flagged hashtags

  • Maintaining consistent posting behavior to avoid triggering spam or inauthentic activity signals

  • Not running multiple automation tools simultaneously on the same Instagram account

  • Monitoring Meta's platform communications and responding to any warnings or policy notices promptly

  • Filing appeals through official Meta channels if enforcement action occurs


No Liability for Meta Enforcement Actions

Fliqmedia Tech Pvt. Ltd. and LinkFliQ shall not be liable for any of the following arising from a Meta Enforcement Action:

  • Suspension, restriction, or permanent disabling of your Instagram account or any linked Meta account

  • Loss of followers, content, engagement, or account history

  • Business disruption, loss of revenue, or reputational harm resulting from account suspension

  • Failed, delayed, or automatically rejected appeal processes with Meta

  • Cascade or chain bans affecting accounts linked to your profile in Meta's systems

  • Enforcement actions triggered by your account's own content, posting behavior, prior violations, or third-party tools unrelated to LinkFliQ

LinkFliQ's Meta-approved status confirms that our integration method is compliant with Meta's developer policies. It does not mean Meta guarantees the safety of your account from its own automated moderation and enforcement systems. No third-party platform can make such a guarantee on behalf of Meta.


If Your Account Is Suspended

If your Instagram account is suspended or restricted, we recommend:

  • Using the in-app "Appeal" button if available, as this is the only official Meta review path

  • Submitting identity verification to Meta's Help Center if requested

  • Documenting all content, dates, and correspondence with Meta for your records

  • Not attempting to recreate the suspended account using the same device, phone number, or IP address, as this may trigger further enforcement

  • Contacting LinkFliQ support at support@linkfliq.com so we can pause your automation and provide documentation confirming our API operations remained within official boundaries

LinkFliQ will cooperate in good faith in providing documentation of our API operations to assist your appeal where applicable. Such cooperation does not constitute acceptance of any liability.


8. Data Ownership & Privacy

Ownership

You retain full ownership of:

  • Your Brand data, branding, and content

  • Your Knowledge Base inputs

  • Your customer conversation data and analytics


Our Use of Data

We process data solely to deliver LinkFliQ services. We:

  • Do not sell customer or brand data to third parties

  • May use aggregated, anonymized data to improve product performance and AI models

  • May process data through trusted sub-processors (cloud hosting, AI infrastructure providers) who are bound by confidentiality

  • Comply with the Digital Personal Data Protection Act, 2023 (DPDP Act) and applicable provisions of the Information Technology Act, 2000


Cross-Border Data Transfer

Some data processing may occur on servers located outside India. Where applicable, we comply with cross-border transfer requirements under the DPDP Act and ensure equivalent data protection standards.


End Customer Data

When End Customers message or comment on your Brand's Instagram account, their messages and basic profile data are processed by LinkFliQ on your behalf. As the Brand, you act as the Data Fiduciary under the DPDP Act for End Customer data, and we act as the Data Processor. You are responsible for:

  • Disclosing automation use where required by applicable law

  • Honoring End Customer rights including access, correction, and erasure requests

  • Maintaining your own privacy policy as required

We assist with these obligations as detailed in our Privacy Policy.


Data Retention & Deletion

  • Active account data is retained for the duration of your subscription

  • After account closure, data is retained for up to 90 days for billing and dispute resolution, then deleted

  • Aggregated, anonymized data may be retained beyond this period

  • Data deletion requests are handled per our Privacy Policy and the DPDP Act


Data Breach Notification

In the unlikely event of a data breach involving your data, we will notify affected users and the Data Protection Board of India (or other applicable authority) as required under the DPDP Act and within timelines mandated by law.


9. Payments, Credits & Subscriptions
Plans

LinkFliQ offers a Free plan, paid Subscriptions (Starter, Growth, Enterprise), and credit-based usage. Current pricing is published at linkfliq.com/pricing and may be updated with reasonable notice.


Billing

  • Paid plans bill monthly or annually based on your selection

  • Subscriptions auto-renew unless cancelled before the next billing cycle

  • All fees are exclusive of GST and other applicable taxes, which will be added as required by law

  • Pricing, credit limits, and features may change with at least thirty (30) days' notice for existing subscribers

Credits

  • One interaction (DM, comment, or escalation handled by AI) consumes one credit

  • Unused monthly credits do not roll over to the following billing cycle unless explicitly stated in the plan

  • Overage usage beyond plan credits may be billed at published overage rates


Refunds

  • Fees are non-refundable except where required by law

  • We may offer pro-rated refunds for unused portions of pre-paid annual plans at our discretion

  • Failed payments may result in service suspension after reasonable notice

  • Suspension, restriction, or disabling of your Instagram account by Meta does not entitle you to a refund of LinkFliQ subscription fees. Such events are caused by Meta's enforcement systems and are outside our control and scope of liability.


Free Trials & Pilots

  • Free trials, pilot programs, and beta access are offered at our discretion

  • Features available during trials may differ from paid plans

  • We may end trial access with or without notice


10. Acceptable Use Policy

You must NOT use LinkFliQ to:

  • Send spam, bulk unsolicited messages, or content violating Instagram's policies

  • Circumvent Meta's platform rules, messaging windows, or rate limits

  • Misuse automation in deceptive, fraudulent, or harmful ways

  • Harass, threaten, defame, or impersonate any person or entity

  • Promote illegal activity, dangerous goods, or content prohibited by Meta or Indian law

  • Send sexually explicit, hateful, or violent content

  • Send content related to firearms, drugs, or other restricted categories

  • Send messages targeting minors inappropriately

  • Attempt to reverse-engineer, decompile, or disrupt the platform

  • Use the platform to scrape data or train competing AI models

  • Bypass authentication, access controls, or usage limits

  • Run LinkFliQ simultaneously with unofficial automation tools, browser bots, scraper extensions, follower trackers, or non-API-based tools on the same Instagram account

  • Use LinkFliQ in a manner that compounds risks to your account's Meta trust score, including independently posting policy-violating content or using banned hashtags


Violations may result in immediate suspension or termination without refund. We may also report violations to Meta, Shopify, or relevant authorities as required.

11. Limitation of Liability

To the maximum extent permitted by law, Fliqmedia Tech Pvt. Ltd., its officers, directors, employees, and affiliates shall not be liable for:

  • Loss of revenue, profits, business opportunities, or goodwill

  • Customer disputes arising from automated responses

  • AI misclassification, incorrect intent detection, or interpretation errors

  • Meta, Shopify, or other third-party API outages, policy changes, or enforcement actions

  • Suspension, restriction, banning, or disabling of your Instagram, Facebook, Threads, or any other Meta-linked account, whether caused by Meta's automated AI moderation, AI false positives, algorithmic trust score evaluation, mass-reporting by third parties, content posted independently by the Brand, prior account history, or any other factor outside LinkFliQ's direct API operations

  • Cascade or chain bans affecting accounts linked to your Meta Accounts Center or sharing a device, IP address, or identity with your account

  • Loss of followers, content, account history, engagement, or business revenue resulting from any Meta Enforcement Action

  • Data loss caused by third-party platforms

  • Indirect, incidental, consequential, special, or punitive damages

Total aggregate liability under these Terms shall not exceed the total fees paid by you during the three (3) months immediately preceding the event giving rise to the claim, or Rs. 10,000, whichever is higher.

This limitation applies regardless of the legal theory and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Fliqmedia Tech Pvt. Ltd. and its representatives from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of LinkFliQ

  • Your violation of these Terms

  • Your violation of Meta, Shopify, or other third-party policies

  • Content you submit, send, or process through LinkFliQ

  • Your violation of any law or third-party right, including privacy or IP rights

  • Any claim attributing an Instagram account suspension or Meta Enforcement Action to LinkFliQ's services, where such claim is not supported by documented evidence of a breach of our API-level obligations under Meta's Platform Terms

13. Account Suspension & Termination

We may suspend or terminate your account if you:

  • Violate these Terms or third-party platform policies

  • Misuse automation systems or violate the Acceptable Use Policy

  • Engage in fraud, chargeback abuse, or non-payment

  • Are required to be terminated by court order or law enforcement

  • Pose risk to other users, the platform, or Meta/Shopify integrations

Users may cancel subscriptions at any time from the dashboard. Upon termination:

  • Access to features ends immediately

  • Data is handled per Section 8 (Data Retention & Deletion)

  • Outstanding fees remain payable


14. Intellectual Property

All platform software, design, branding, trademarks, logos, and underlying technology belong to Fliqmedia Tech Pvt. Ltd.

  • Users may not copy, modify, distribute, sell, lease, or reproduce platform components without our prior written consent

  • Users retain ownership of their Brand data, content, and Knowledge Base inputs

  • You grant us a limited, non-exclusive license to use your data solely to provide and improve the service

  • Feedback or suggestions you submit may be used by us without obligation


15. Publicity & Case Studies

Unless you explicitly opt out in writing, you grant us permission to use:

  • Your Brand name and logo

  • Your public Instagram handle

  • High-level performance or case study insights (e.g., interaction volumes, response times)

For marketing purposes including our website, decks, and social channels. Confidential or revenue-specific data will not be shared without your prior written consent.

16. Beta Features

We may release features marked as "Beta", "Preview", or "Experimental". These are provided as-is, may change or be removed without notice, and may have limitations or bugs. Use of Beta features is at your own discretion.


17. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, government action, internet outages, failures of third-party services (Meta, Shopify, cloud providers), or changes to Meta's platform policies, enforcement algorithms, or moderation systems.


18. Dispute Resolution

Governing Law

These Terms are governed by the laws of India.

Arbitration

All disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.

  • Seat of Arbitration: Chandigarh, India

  • Language: English

  • Number of Arbitrators: One (1), mutually appointed

Subject to arbitration, courts in Chandigarh, India shall have exclusive jurisdiction.


19. General Terms

  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding LinkFliQ

  • These Terms override previous agreements related to LinkFliQ

  • Your rights under these Terms are non-transferable without our consent

  • We may assign our rights and obligations in case of merger, acquisition, or corporate restructuring

  • If any provision is found invalid or unenforceable, the remaining provisions remain in full force

  • Failure to enforce any provision does not waive our right to enforce it later

  • Notices to you may be sent via email or in-product notification; notices to us must be sent to support@linkfliq.com
